These Terms govern your access to and use of the Flux by Paytring service (the "Service") provided by Seamless Fintech Innovations, Inc., a Delaware corporation ("Company"). By creating an account or using the Service you agree to these Terms.

1. Service description

Flux is a Merchant of Record (MoR) platform that enables eligible merchants to accept payments from buyers worldwide, with Company acting as the seller of record for tax and regulatory purposes.

2. Eligibility & onboarding

You must complete KYC, provide accurate business and banking information, and execute the Merchant of Record Supplier Agreement. Company may decline or suspend accounts at its discretion.

3. Fees

Fees are 5% + USD 0.30 per successful transaction unless otherwise agreed. Fees are deducted from gross proceeds prior to settlement.

4. Settlement

Net proceeds are settled in INR to your nominated Indian bank account on the schedule published in your dashboard, subject to compliance review.

5. Restricted activities

You may not use the Service for prohibited businesses or activities, including those restricted by our payment partners, applicable sanctions laws, or AML rules.

6. Limitation of liability

To the maximum extent permitted by law, Company's aggregate liability is limited to the fees paid by you in the 3 months preceding the claim.

7. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
